The Corporate Transparency Act (CTA) is a federal law designed to combat money laundering, terrorist financing, and other illegal activities. It does this by requiring companies to identify the real people who own or control them.

Is my trucking company required to file the BOI?
The short answer is: Almost certainly, YES..
The law applies to all "reporting entities," which includes any corporation, LLC, or similar entity created by filing a document with a Secretary of State or similar authority in the U.S.
In the context of trucking:
- If you are an Owner-Operator who registered your truck under an LLC to protect your personal assets, you must file the BOI.
- If you have a small fleet structured as an S-Corp or C-Corp, you must file the BOI.
- The only exceptions are for very large companies (more than 20 employees and $5 million in revenue) or highly regulated entities that already report this information (such as banks). The vast majority of trucking companies do not fall into these exceptions.
Deadlines: When must I file my beneficial owner information?
Deadlines are critical and depend on when your company was created. Ignoring these deadlines can result in civil fines of up to $500 for each day the violation continues, in addition to potential criminal penalties.
- Existing companies (created BEFORE January 1, 2024): You have until January 1, 2025 , to file your initial BOI report. You have time, but do not leave it until the last minute.
- New companies (created DURING 2024): If you registered your LLC or Corporation at any time in 2024, you have 90 calendar days from the date of creation to file the report.
- Companies created in 2025 or later: The deadline is reduced to 30 calendar days..
This is a one-time filing, not annual, UNLESS there are changes in the company information or the beneficial owners (such as a change of address or a new partner). If this happens, you have only 30 days to update the report.
